Welcome to Avanya. These Terms and Conditions (“Terms”) govern your use of our website and the digital marketing services, consulting, and online campaigns (“Services”) provided by Avanya. By accessing our website, engaging our Services, or making a payment, you agree to be bound by these Terms.
Avanya provides digital marketing and related agency services. The specific scope, deliverables, timelines, and costs of the Services will be outlined in a separate proposal, contract, or service level agreement (SLA) provided to you before the commencement of any work.
To ensure the successful delivery of our Services, you agree to:
Provide timely access to any required information, assets, passwords, or platform permissions needed to execute your marketing campaigns.
Ensure that any materials (images, logos, text) you provide to us do not infringe on the intellectual property rights of any third party.
Review and approve deliverables within the agreed-upon timeframes.
Payment Processing: We use online payment gateways, including Razorpay, for secure transaction processing. By submitting payment details, you authorize us (and our payment processors) to charge the agreed-upon fees.
Invoicing: Invoices will be issued according to the payment schedule outlined in your specific contract (e.g., upfront for projects, or monthly for retainers).
Late Payments: Failure to pay invoices on time may result in the suspension of active marketing campaigns or a pause on deliverables until the account is brought current.
Avanya’s IP: We retain all rights, title, and interest in our proprietary methodologies, pre-existing tools, templates, and agency processes used to deliver your Services.
Client IP: Upon receiving full and final payment for a specific project or deliverable, you will own the final, approved digital assets (such as ad creatives, finalized logos, or written copy) created specifically for your business.
Both parties agree to maintain the confidentiality of any proprietary or sensitive business information shared during our engagement. This includes business strategies, financial data, customer lists, and marketing performance metrics. We will not disclose your confidential information to third parties without your prior written consent.
To the maximum extent permitted by law, Avanya shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunities arising out of or related to our Services. Our total liability for any claim arising from these Terms or our Services shall not exceed the total amount paid by you to Avanya in the three (3) months preceding the claim.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or your engagement with Avanya shall be subject to the exclusive jurisdiction of the courts located in Chandigarh.
We reserve the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.
